Walls & Futures, the Ethical Housing REIT, is pleased to announce that it has received a subscription for 142,857 ordinary shares of 5 pence each (“Ordinary Shares”) at a price of 70 pence to Ordinary Share from a new investor (the “Subscription”). The Subscription is for a total of GBP100,000 and is at a 33.3% premium to yesterday’s closing mid-market price on the NEX Growth Exchange (“NEX”). The new Ordinary Shares issued under the Subscription equate to 3.80 percent of the issued ordinary share capital of the Company, as enlarged by the Subscription.
Following the Subscription, Westerby Trustee Services Ltd will hold 142,857 Ordinary Shares, equivalent to 3.80 percent of the Company’s Ordinary Shares (the “Shareholding”). The ultimate beneficial holder of the Shareholding is Westerby Private Pension – R Prest.
An application has been made to admit the Shareholding to trading on NEX with effect from 2 September 2019.
Following the Subscription, the Company will have a total of 3,755,086 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculation by which they determine if they are required to notify their interests in, or change to, their interest in the Company under the FCA’s Disclosure and Transparency Rules.
